  1. Introduction and Objective

    The Occupational Safety and Health Administration Region V, Illinois Area Offices (OSHA) and the Underground Contractors Association of Illinois (UCA) mutually recognize the importance of providing a safe and healthful work environment for employees engaged in the underground construction industry. In order to advance OSHA's and UCA's shared goal of preventing accidents, OSHA and UCA agree to 1) develop a better working relationship between OSHA and UCA's members, and 2) foster and improve mutual trust and respect between OSHA, and UCA's members. OSHA and UCA are committed to working together through the OSHA Strategic Partnership Program ("OSPP") as partners to achieve construction workplace safety through the following shared strategies and objectives:
     
    1. Implementation of continuing and open communications between OSHA, UCA and UCA's approximately 130 contractor member and 120 associate member companies in a manner that will encourage respect, trust, and understanding, as more fully set forth below:
      • By sharing knowledge of the best industry technology, innovations and workplace practices that will improve jobsite safety and health performance.
      • By promoting enforcement policies and practices that are effective, consistent and fair.
      • By cooperatively addressing issues of concern related to safety and health within the underground construction industry.
      • By providing leadership, guidance and a positive safety example to contractors, associations, public agencies and authorities.
      • By working to prevent occupational related fatalities and serious injuries for all workers involved in underground construction.
      • By encouraging immediate abatement of all serious hazards, acts or conditions.
    2. Cooperation in the development and continuous improvement of safety training programs for OSHA, UCA, and the Participating Companies.
      • By promoting recognition of construction safety excellence at every opportunity.
      • By encouraging employee involvement in the day-to-day implementation of worksite safety and health programs.
      • By promoting communication of OSHA's continuing efforts to improve construction safety and health to Participating Companies.
    3. Improvement and promotion of worker safety and health in the Illinois underground construction industry.
    4. Prevention of discrimination against any employee who engages in safety and/or health activities and the encouragement of employees in the exercise of their right to raise safety concerns without fear of reprisal.
       
  2. OSPP Background and Goals
     
    1. Background

      This partnership shall only cover underground construction activities performed by the Participating Companies in Illinois. UCA has over 130 contractor members and 120 associate members in Illinois.

      UCA's contractor members are underground utility contractors specializing in utility, cable, electric, gas, fiber optic, telephone, water, storm water, and sewer installations, maintenance and repair. Other work specialties include tunneling, auger boring, directional drilling, road repairs and other underground specialty work related to underground infrastructure projects. UCA’s associate members are engaged in the manufacture, production and distribution of construction materials, labor and services utilized by underground utility contractor members.

      A significant construction industry resource provided by UCA to its members is the UCA Safety and Risk Management Program. UCA established this program in 1999 and revised it in 2002 to assist employers in the construction industry with their various safety needs – including OSHA compliance, workers’ compensation issues, and most importantly, accident prevention. The UCA Safety and Risk Management Program was developed by UCA's Safety Committee, which also administers other safety resources and assistance to UCA members.
       
    2. Goals of OSPP

      The purpose of the OSPP is to achieve the following stated aspirational goals of the partnership during the term of this agreement:
       
      • Significantly reduce or eliminate exposures to the following seven emphasis areas of OSPP:
        1. Falls
        2. Confined-space entry hazards
        3. Electrocution prevention
        4. Trenching hazards
        5. Struck-by hazards and other Caught-between hazards
        6. Silica and other respiratory hazards
        7. Utility damage prevention
      • Reduce the aggregate incidence rate of Participating Companies for work-place injuries and illnesses involving lost or restricted workdays by 5% during the three (3) year term of OSPP, and eliminate fatalities for participating companies.
      • Annually increase the aggregate number of UCA contractors and associate members that implement effective safety programs by 5% during the three (3) year term of OSPP based upon a pool of approximately 130 contractor members and 120 associate members.
      • Increase the number of construction companies that implement aggressive training efforts for their employees by 5% during the three (3) year term of OSPP.
      • Allow OSHA to focus its resources on employees that require assistance from OSHA, rather than Participating Companies that have demonstrated effective safety programs.
      UCA's Third Party Director shall measure these aspirational goals through a review of the Participating Companies' OSHA Forms 200, 300 and 300A. Participating Companies shall commit to making their OSHA Forms 200, 300 and 300A available annually to UCA's Third Party Safety Director as a condition precedent to acceptance as a Participating Company in OSPP.
       
  3. Commitment and Role of Partners and Participating Companies
     
    1. UCA's Commitment and Role
       
      1. Promote participation of UCA membership in OSPP.
      2. Promote safety in the underground construction industry through the implementation of continuing and open communications between OSHA, UCA and the Participating Companies.
      3. Act as a third party administrator and liaison for Participating Companies and OSHA. Participating Companies will be able to call UCA with questions; and UCA may contact OSHA on behalf of Participating companies for the promotion of OSHA's health and safety programs.
      4. Promote continuous and high quality training of employees by specifically focusing on areas of falls, confined-space entry trench safety, electrocution prevention, struck-by and caught-between hazards, silica or other respiratory hazards, and utility damage prevention.
      5. Provide up-to-date informational materials and brochures to UCA's Participating Companies (from UCA, OSHA and other organizations).
      6. Promote written safety and health policies and programs for Participating Company members, with an emphasis on employer/employee responsibilities.
      7. Promote construction safety excellence through an annual UCA Safety Recognition Award.
      8. UCA will employ an independent third party Safety Director to perform specific tasks including, but not limited to the following:
        1. Process Participating Companies applications to determine if the Participating Companies meet the criteria specified by this agreement for participation in the program.
        2. Obtain OSHA Forms 200, 300 and 300A from the Participating Companies annually.
        3. Notify OSHA Area Directors of the names of the Participating Companies within their jurisdiction, which have submitted applications to OSPP. An application form is attached hereto as Exhibit A.
        4. Compile a report on the information obtained from OSHA Forms 200 300 and 300A submitted by Participating Companies for the purpose of monitoring the success of OSPP and forward this report annually to OSHA for its evaluation.
    2. OSHA's Commitment and Role

      Contractors participating in this partnership agreement will remain subject to OSHA inspections and investigations in accordance with established agency policies and procedures, except for the terms provided for in this OSPP. OSHA will continue to investigate fatalities and catastrophes involving participating members, and to investigate all complaints and referrals received by the Illinois Area Offices. OSHA will use telephone and fax to investigate non-formal complaints, except those cases involving serious injuries. In the event of a serious injury, an inspection may be conducted.

      Additionally, the incentives provided for in this OSPP apply only to those Participants “working in Illinois” who have had no willful and repeated serious violations in the last three years, and no fatalities or catastrophes within the last three years that resulted in serious, repeat, or willful citations related to the incident.

      OSHA shall provide the following services and incentives to UCA and its Participating Companies in the OSPP:
      1. OSHA, through its Area Directors, will provide a representative to meet quarterly with the UCA Safety Director and Participating Companies in order to discuss current jobsite findings, current violation trends, and possible corrective measures.
      2. OSHA will not issue citations to Participating Companies for other-than-serious items that are abated immediately or in the presence of the compliance officer.
      3. Annually OSHA will conduct random on-site monitoring inspections/evaluations of up to no more than a total of 10% (add: total) of Participating Companies, to ensure that the Participating Companies are fulfilling their commitment to OSPP.
        The inspection/evaluation must be conducted on at least one Participating Company. The Illinois offices will share the results of onsite monitoring inspections among themselves.
      4. If a participant is the sole or primary contractor at a site (and has not had a partnership monitoring inspection) and is subjected to a “programmed inspection” by OSHA, that inspection would be a focused inspection and the inspection would be counted as one of the 10% minimum required annual inspections of Participating Companies. Upon completion of a successful monitoring inspection, the Participating Company will be exempt from Programmed inspections for one year.
      5. During an OSHA inspection of a multi-employer work-site, a Participating Company that is present and has had a successful monitoring inspection at another site will be exempted from the inspection unless the compliance officer can document that the Participating Company is responsible for employee exposures to observed serious hazards such as falls, struck-by, caught-in/between, electrical, and confined-space, or any other serious hazard.
      6. For inspections resulting from formal complaints, the inspection will only address the complaint item(s), safety and health programs, injury and illness records, and other hazards in plain view.
      7. If cited by OSHA, Participating Companies will be offered a 40 percent penalty reduction, through the Expedited Informal Settlement Agreement (EISA) process.
      8. If cited by OSHA, Participating Companies may receive the maximum allowable good-faith discount of 25%, in addition to any other penalty reduction factors that may be available.
      9. At the request of a Participating Company, an OSHA Area Director of the jurisdiction or their representative will meet with UCA's Safety Director and the Participating Company to address the Participating Company’s concerns with the OSPP.
    3. Participating Companies' Commitment and Role

      Criteria for acceptance by OSHA for a Participating Company in OSPP:
      1. A Participating Company must submit an executed (1) OSPP Application Form to UCA's Safety Director, and (2) an executed OSPP Participating Form Agreement with UCA's Safety Director, copies of which are attached hereto as Exhibit A and B.
      2. A Participating Company shall submit an OSPP Application Form to UCA's Third Party Safety Director certifying that a comprehensive written safety and health program is currently in effect for the Participating Company's employees and is substantially similar to either:
        • The UCA Safety and Risk Management Program or
        • OSHA’s “Safety and Health Program Management Guidelines” of January 26, 1989 in FRN 54:3904-3916, or
        • American National Standards Institute’s (ANSI) A-10.38, “Basic Elements of an Employer Program to Provide a Safe and Healthful Work Environment,” or
        • Another safety and health program (copy attached to the OSPP Application Form to UCA), which meets the minimum safety standards set forth in any one of the three programs, identified above.
      3. A Participating Company shall certify to UCA's Third Party Safety Director that it enforces its safety policies and procedures by holding supervisor(s) and employee(s) accountable for the Participating Company's safety rules and OSHA's regulations.
      4. A Participating Company shall conduct and document monthly self-audits.
      5. A Participating Company shall within one year of obtaining approval of its application into OSPP provide to UCA's Third Party Safety Director verification that all non-supervisory/core field personnel who are engaged in construction activities have completed the OSHA 10-Hour Training Course for the Construction Industry.
      6. A Participating Company shall further agree to provide such additional employee training as the Participating Company deems necessary to achieve the goals of OSPP. A Participating Company should note that the training referenced above does not excuse an employer's obligation to comply with specific OSHA training standards.
      7. A Participating Company shall annually provide its OSHA Forms 200, 300 and 300A to the UCA's Third Party Safety Director. UCA's Third Party Safety Director will conduct a summary analysis of pertinent safety related information and shall share that information with’ OSHA as part of UCA’s obligation to monitor the achievement of the goals and objectives of OSPP. The purpose of the summary analysis is to assist UCA's Safety Director and OSHA in preparing an annual report necessary for an evaluation of the success of OSPP. ‘If UCA’s Third Party Safety Director provides any information on Participating Companies to OSHA, OSHA will only use it for matters related to the achievement of OSPP’s goals and objectives.’
         
  4. Participation by UCA and Participating Companies in the OSPP

    UCA will act as a third party administrator of the OSPP and will process both 1) the OSPP Application Form to UCA and 2) the OSPP Participating Form Agreement with UCA for OSHA in order to facilitate the evaluation by OSHA of the achievement of the aspirational goals set forth in this Partnership Agreement. UCA's third party administrator status with respect to its participation in OSPP shall not be considered by OSHA or a Participating Company as a determination that the Participating Company's safety program does or does not meet any applicable legal, health or safety standard, such as 1) any federal safety or health statute or regulation; or 2) any state or local statutes or regulations that also address occupational safety or health.

    In addition, UCA's third party administration of OSPP is not an attempt by UCA to determine whether the Participating Company is exercising a "reasonable standard of care" or whether its safety program insures a "safe and healthful working environment" for the Participating Company, OSHA, or any of the Participating Company's employees. UCA expressly disclaims any liability or other responsibility for any claim that may arise out of the Participating Company's performance of its obligations under OSPP, any federal or any state safety or health ordinance or regulation. OSHA and the Participating Company accepted into OSPP expressly acknowledge and agree to this limited role of UCA in the OSPP and UCA's complete disclaimer of liability as a third party administrator of OSPP.

     
  5. Evaluation of OSPP's Effectiveness

    On or before the annual anniversary of the signing of this agreement, UCA's Safety Director will annually provide to OSHA a report summarizing the OSHA Incidence Rates of the Participating Company.

    Both parties will evaluate this Partnership Agreement annually on or before the calendar anniversary of this agreement. OSPP's effectiveness shall be measured through the achievement of the aspirational goals stated in this Partnership Agreement, utilizing the information provided by Companies OSHA Forms 200, 300 and 300A.

    Annually, the UCA Safety Director will make a recommendation to UCA and OSHA to modify, continue or terminate OSPP. The OSPP will be jointly evaluated by UCA and OSHA annually to determine if it is achieving its goals and objectives, or requires modification or termination.

     
  6. Term of Agreement and Process for Termination

    The OSPP will have an initial term of three years from the date of execution and this term may be renewed if all signatory parties agree. Any signatory party to the OSPP may withdraw from the Agreement at any time after submitting a written 30-day notification of its intent to withdraw to the other party. Any signatory party may withdraw with or without cause. UCA’s Safety Director in consultation with OSHA’s Area Director of the jurisdiction involved may terminate Participating Companies, and UCA’s Safety Director will notify the appropriate OSHA Area Director if one or more of the following occurs:
    1. An inspection by OSHA reveals a significant deviation from program criteria;
    2. The Participating Company has falsified information on the application or supporting records;
    3. The Participating Company's total case injury/illness incident rate rises above acceptable levels; or
    4. The Participating Company takes such other actions that may be determined to be grounds for termination by OSHA.
    Prior to termination of a Participating Companies' status by UCA's Safety Director, the following will occur:
    1. The Participating Company will be given 30 days written notice of the Safety Directors and OSHA's intent to terminate;
    2. The notice will include an explanation of the reasons for termination;
    3. The Participating Company will have an opportunity to reply to the written notice within a period of 30 days; and
    4. The Participating Company will have a right to meet with the UCA Safety Director following its written reply to discuss the termination and the Participating Company's possible reinstatement in OSPP. UCA's Safety Director will have the authority to reinstate the Participating Company if it determines the Participating Company's termination events were unusual and warrant reinstatement. Prior to reinstatement OSHA may conduct a verification inspection of the Participating Company.
    Any Participating Company may terminate its participation in this Program at any time upon written notice to UCA's Safety Director. Any Participating Company may terminate its participation with or without cause.

     
  7. Employee Rights

    This partnership supports employee’s rights as guaranteed under the Occupational Safety and Health (OSH) Act.

     
  8. Preservation of Rights

    Nothing in this agreement shall preclude any employer from contesting in good faith any citations or proposed penalties issued by OSHA. Nor shall this agreement waive any constitutional, statutory or other legal right of any party, except as expressly state herein. This agreement also shall not preclude any attorney who is an officer, director, employee, agent or attorney of UCA or of any member or associate member of UCA, from representing any employer or other person, entity or government agency in any contested OSHA matter or other matter adverse to OSHA or adverse to any other member or associate member of UCA.

PARTICIPATING COMPANY AGREEMENT FOR OSPP


This OSPP Participating Company Agreement (hereinafter "Participant Agreement"), is hereby entered into by and between the Underground Contractors Association of Illinois ("UCA"), with offices located at 500 Park Boulevard, Suite 154C, Itasca, Illinois 60143, acting as a third party administrator to OSHA, and the Participating Company _________________________________

with its main offices located at _____________________________________________________
______________________________________________________________________________(hereinafter "Participating Company").

WHEREAS, Participating Company wishes to participate in the OSHA Strategic Partnership Program (OSPP), a copy of which has been provided to the Participating Company and is incorporated herein by reference; and

WHEREAS, UCA will be providing certain third party administrative services for OSHA and the Participating Company as required by OSPP for the benefit of the Participating Company and OSHA.

NOW, THEREFORE, for and in consideration of the third party administrative services and other good and valuable consideration, UCA and Participating Company agree as follows:
  1. TERM

    The term of this Participant Agreement shall be from the date of Participating Company's acceptance into The OSPP by OSHA until such time as UCA, OSHA or the Participating Company terminates this Partnership Agreement.
     
  2. SERVICES TO BE PROVIDED:

    UCA will provide to the Participating Company the third party administrative services described in The OSPP.
     
  3. SERVICE FEES AND EXPENSES

    Upon execution of this Participant Agreement, Participant agrees to pay UCA a nonrefundable annual fee of $500.00 for its third party administrative services as described in The OSPP.
     
  4. THIRD PARTY ADMNISTRATOR STATUS OF UCA

    UCA will act as a third party administrator of the OSPP and will process both 1) the OSPP Application Form to UCA and 2) the OSPP Participating Form Agreement with UCA for OSHA in order to facilitate the evaluation by OSHA of the achievement of the aspirational goals set forth in this Partnership Agreement. UCA's third party administrator status with respect to its participation in OSPP shall not be considered by OSHA or a Participating Company as a determination that the Participating Company's safety program does or does not meet any applicable legal, health or safety standard, such as 1) any federal safety or health statute or regulation; or 2) any state or local statutes or regulations that also address occupational safety or health. OSHA and the Participating Company accepted into OSPP expressly acknowledge and agree to this limited role of UCA in The OSPP and UCA's complete disclaimer of liability as a third party administrator of OSPP.
     
  5. PARTICIPATING COMPANY'S COMMITMENT AND ROLE

    Participating Company expressly acknowledges that it has read Article III, Section C of the OSPP agreement between UCA and OSHA and that the Participating Company certifies the representations contained therein are true. The Participating Company's Commitment and Role set forth in Article III, Section C of the OSPP agreement are incorporated herein as though set fully forth and repeated at length.
     
  6. CONFIDENTIALITY

    UCA and UCA's Safety Director shall not disclose to any third party (other than OSHA) the information received from the Participating Company by UCA as the third party administrator, except with Participating Company's written permission or as is reasonably necessary to:
    1. carry out UCA's obligation under the OSPP Partnering Agreement
    2. delegate UCA's obligations to its Safety Director, or
    3. meet UCA's legal obligations, and/or as directed by a court of law with proper jurisdiction.
       
  7. INDEMNIFICATION AND INSURANCE

    Participating Company hereby agrees to indemnify and hold harmless UCA, its officers, employees, volunteers, representatives, agents, attorneys and consultants from any and all claims, suits or actions, whether in law or equity, or other, made or brought against UCA or the Participating Company including, but not limited to, any and all costs, attorneys' fees, and expenses, which result from any such claim, suit or action arising out of the OSPP or this Participant Agreement, or which result from any intended or negligent statements, misstatements, actions or inaction on the part of UCA and its Safety Director or the Participating Company, including, but not limited to, non-compliance with any findings, recommendations and/or requirements of OSHA, UCA or UCA's Safety Director under this Participant Agreement or the OSPP.
     
  8. CANCELLATION

    This Agreement may be canceled by UCA, OSHA or the Participating Company after acceptance of the Participating Company into OSPP, with or without cause and for any reason, at any time by written notice of the termination to either UCA, OSHA or Participating Company.
     
  9. MISCELLANEOUS
     
    1. All notices, or time periods applicable thereto, required or permitted under this Participant Agreement shall be effective as to UCA upon the mailing thereof in a stamped or postage-paid envelope to the following address:

    1. The provisions of this Participant Agreement are for the sole benefit of the Participating Company. UCA shall not be liable to any third party for any loss, liability, damage, or expense. Any modification or extension of this Participant Agreement shall not be binding on either party unless it is written and signed by both parties.
       
    2. No failure or delay by UCA in exercising any right, power or privilege under this Participant Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise of any other right, power or privilege.
       
    3. Neither this Participant Agreement, nor any of the rights, duties or obligations of the parties hereunder, may be transferred or assigned (by operation of law or otherwise) by any party hereto except as otherwise provided for in this Participant Agreement or with the prior written consent of the other party, such consent of the other party not to be unreasonably withheld.
       
    4. This Participant Agreement shall be binding upon the parties hereto and their respective successors in interest and assignment.
       
    5. This Participant Agreement only applies to the activities of the Participating Company in the State of Illinois, and it shall be governed by the laws of the State of Illinois.
